EDS to Resell Division's Virtual Reality Software

Agreement targets Fortune 500 companies as customers for Division's
interactive virtual prototyping tools

REDWOOD CITY, Calif., April 4, 1996 -- Electronic Data Systems (EDS)
and Division Group plc have announced a new agreement in which EDS
will become a value-added reseller (VAR) of Division's virtual reality
software in all of EDS' worldwide markets, including North America,
Europe, and the Far East.  EDS is a leader in the global information
services industry, with more than 95,000 employees and revenue in
excess of $12 billion.  Division is the world's leading software
company producing virtual reality (VR) tools for interactive virtual
prototyping.

"VR is becoming an essential part of our service offering to our
Fortune 500 client base," said Steve Chenoweth, head of EDS' Virtual
Reality Center in Plano, Texas.  "EDS has already started providing VR
services through our Virtual Reality Centers in the U.S. and Europe,
and we want to expand and consolidate our leadership position in this
field.  Division's software makes it easy to create the sophisticated
environments that our clients demand."

EDS will be selling Division's dVISE virtual reality software and
associated consulting to its existing clients, as well as using VR to
attract new clients.

By offering a VR capability as an integrated part of its services, EDS
is setting itself apart from its competitors, according to Bob Voiers
of EDS' Virtual Reality Center in Detroit, Mich.  "We are a leading
global information services corporation that gives exceptional value
to our clients.  Virtual reality adds value for our entire customer
base," says Voiers.

"Having EDS as an international VAR is a major step forward in our
efforts to establish VR as the best tool for interactive visualization
and virtual prototyping," said Charles Grimsdale, CEO of Division.
"This will give us access to a major new tier of clients worldwide."

Full licenses for Division's dVISE software have already been
installed at EDS' Virtual Reality Centers in Brussels, Belgium; Plano,
Texas; and Detroit, Mich.; and a training program and joint sales
activities between EDS and Division are underway.

dVISE, Division's virtual reality software for end users, is the
leading tool for interactive virtual prototyping in the design
industry.  In use at more than 200 sites worldwide, dVISE allows
virtual prototypes to be built quickly and easily, in conjunction with
the computer-aided design software already used by engineering
designers.  Among other capabilities, dVISE can transparently link
together multiple computers at multiple sites, so that remote
engineering teams can work together on multi-participant design
reviews.
